British AI neocloud Nscale has secured $3.36 billion in convertible financing ahead of its IPO later this year, the company announced on Friday.
Hedge fund Third Point led the round. The structure splits the money into two tranches: $2.36 billion is available to Nscale immediately, and an additional $1 billion comes from existing investor Nvidia, which Nscale will receive in mid-November. The notes convert into equity shares once the IPO is completed.
The deal underscores a simple reality of the AI infrastructure business: building data centers at scale demands staggering amounts of capital, and private markets are willing to supply it on terms that bridge directly into public equity.
Nscale filed its IPO paperwork last week. The Financial Times reported the company is expected to be valued at $35 billion when it lists on the NYSE. Bloomberg reported Nscale is seeking to raise $3 billion in the offering.
The company has come a long way in two years. Since spinning out of Australian cryptocurrency mining company Arkon Energy, Nscale has amassed more than $103 billion worth of contracts, according to its IPO filing.
That contract backlog is the core of the pitch to investors. Neoclouds like Nscale rent out GPU capacity to AI developers and enterprises, and the size of the committed pipeline signals how much demand has already been locked in before the listing.
Nvidia's participation is notable beyond the dollar figure. The chipmaker is already an investor in the company, and its willingness to commit another $1 billion through a convertible instrument that only pays off if the IPO happens signals continued confidence in one of its key infrastructure customers.
The company is currently developing several large data center campuses. The projects include sites in Norway and West Virginia.
The $3.36 billion raise, the $3 billion IPO target and the $35 billion expected valuation together position Nscale as one of the largest AI infrastructure listings of the year — and a test of whether public markets will fund the next phase of the data center buildout at the scale private investors already have.
