  • The binding agreement was signed August 3, 2026, with completion originally expected by March 31, 2027; Acolad now joins RWS's Transform segment.

RWS has completed its acquisition of Acogroup, the parent of language and content services provider Acolad, at an enterprise value of £22.4 million, the company announced on November 2, 2026. The price works out to just two times Acolad's adjusted EBITDA to September 30, 2027 — a multiple that suggests RWS bought revenue scale and customer relationships on notably restrained terms.

The transaction gives RWS, a global AI solutions company headquartered in Maidenhead, UK and listed on the AIM market, an established enterprise customer base across Europe and North America. RWS described the combined organization as offering one of the industry's broadest portfolios of AI content solutions alongside interpreting, transcription and regulated-industry expertise.

What do customers actually gain?

Acolad's customers will gain access to RWS platforms including Trados, Language Weaver Pro and the Cultural Intelligence Layer, supported by the combined group's language and content teams. RWS said these capabilities will enable AI-powered workflows for enterprises while maintaining quality, cultural relevance and human oversight — a claim worth watching as integration proceeds, since such commitments are easier to state than to deliver at scale.

CEO Benjamin Faes framed the deal in customer terms: "Today marks an exciting new chapter for RWS and Acolad, and above all for our customers." He said the combined organization pairs technology with specialist expertise to help customers address complex content challenges and expand into international markets.

Acolad brings strengths in localization, interpreting, transcription and data services, with particular depth in regulated industries, public institutions and medical devices — areas RWS says complement its existing capabilities, especially in life sciences.

How is the deal structured?

The total consideration payable by RWS is £40.2 million (€46.6 million), including payment for approximately £17.8 million (€20.6 million) of cash held at completion, according to the company's regulatory filing. RWS's wholly owned subsidiary, RWS Global Holdings Limited, signed the binding agreement on August 3, 2026.

The acquisition also covered all outstanding bonds owned by funds and accounts managed or advised by Barings and issued by V.O. Paris, an Acogroup subsidiary. Those bonds became an intra-group obligation within RWS on completion and remain so until unwound.

The filing stated the enterprise value equates to two times Acolad's adjusted EBITDA to September 30, 2027, with no third-party debt acquired. RWS is funding the purchase through existing facilities after refinancing its revolving credit facility in October 2025.

The path to completion was contractually choreographed. A binding put option obligated RWS to sign the formal agreement once two Acogroup subsidiaries finished consultation with their French Works Councils, with sellers granting exclusivity during that process. Completion required clearance from the French Ministry for the Economy, Finance, Industrial and Digital Sovereignty and any other foreign investment control authority. The deal qualified as a substantial transaction under AIM rules.

What does Acolad bring to the balance sheet?

Acolad, founded in 1995 and headquartered in the Paris area, employs roughly 1,200 people across 22 countries. In the year to December 31, 2025, it generated revenues of £182 million (€211 million) and adjusted EBITDA of £13 million (€15 million), with gross assets of £404 million (€469 million). That revenue translates to an enterprise-value multiple of well below one times sales — roughly 0.12 times — reflecting thin margins on a large service base.

The company's revenue mix skews heavily toward regulated work. About half of revenues come from regulated industries, and roughly 75% come from localization and related services, with interpreting, transcription and other services making up the remaining 25%. Acolad also works with approximately half of the CAC 40 companies.

When the agreement was first announced in August 2026, completion was expected by March 31, 2027, pending the French consultation process and regulatory approvals — a timeline the parties ultimately beat by several months. Benjamin du Fraysseix, Acolad's co-founder and former chief executive, said at the time: "Joining forces with RWS represents the natural next chapter of that journey."

Acolad now sits inside RWS's Transform segment, where its clients and interpreting platform will follow the group's language technology roadmap. The real test will be whether RWS can lift Acolad's single-digit EBITDA margin toward its own profitability standards without eroding the regulated-industry relationships it paid for.
