Used-car platform Spinny has filed confidential draft papers with the Securities and Exchange Board of India (SEBI) for an initial public offering that seeks to raise Rs 3,000 crore, according to a report by Indian Startup News.
The confidential filing route lets Spinny test regulatory waters without immediately disclosing its draft red herring prospectus to the public. Under SEBI's confidential pre-filing mechanism, a company can submit its draft papers privately, gauge the regulator's comments, and reveal the document only closer to the actual launch of the offer.
The Rs 3,000 crore target places Spinny among the more substantial startup IPO candidates currently working through India's listing pipeline. The company operates in the used-car retail segment, a market that has drawn heavy investor interest over the past several years as Indian consumers shift toward organized platforms for secondhand vehicle purchases.
The filing signals that Spinny's leadership sees a window in the public markets. A successful listing would give the company access to fresh capital at a time when private funding for growth-stage Indian startups has tightened considerably.
Confidential filings have become an increasingly common choice for Indian startups preparing to go public. The mechanism reduces the scrutiny companies face during the early stages of regulatory review and allows them to adjust deal size and structure based on feedback before committing to a public timeline.
SEBI will now review the confidential submission. The next visible step for Spinny would be a public draft prospectus, followed by regulatory observations and, ultimately, the price band and offer dates that mark the formal start of the IPO process.
If the listing proceeds as planned, Spinny would join the ranks of Indian consumer internet companies that have tapped public markets, and its performance will serve as a test of investor appetite for used-car retail platforms.
