A family succession dispute in the Venu Srinivasan household has become a potential governance risk for two listed companies, TVS Holdings Ltd and TVS Motor Company, governance advisory firm InGovern said in a report published Sunday. The advisory firm's core concern isn't how private family wealth gets split — it's whether succession rights, promoter control and management arrangements are clear, legally certain and transparently disclosed to minority shareholders.

The dispute went public in October after differences emerged within the family of Venu Srinivasan, chairman of TVS Holdings, over the distribution of family assets and businesses. Srinivasan maintains he separated his personal assets and the family's businesses transparently. His wife Mallika Srinivasan and daughter Lakshmi Venu say no economic settlement has been reached.

What does the March 2024 MoU actually settle?

At the center sits a memorandum of understanding executed on March 21, 2024, by Venu Srinivasan, Mallika Srinivasan, Lakshmi Venu and their son Sudarshan Venu. TVS Holdings disclosed the MoU's existence to the National Stock Exchange on March 22, 2024, stating it did not adversely affect the company's business.

But the filing did not disclose the MoU's terms or establish that a complete economic settlement had been reached, InGovern said. Mallika Srinivasan and Lakshmi Venu have publicly maintained the March 2024 MoU should not be treated as a settlement of the family's economic interests.

Venu Srinivasan counters that the assets in question are personal, that he was free to deal with them as he saw fit, and that their allocation between his two children was "fair and equitable" with reference to December 10, 2020 — the date of a broader TVS Group settlement.

InGovern stressed it is not adjudicating the competing claims or ruling on the validity of private arrangements. TVS Group did not immediately reply to an emailed request for comment.

What has already moved through corporate channels?

Parts of the ownership and management transition are already done through disclosed processes. The paper trail includes:

  • VS Trust, the disclosed promoter of TVS Holdings, with Sudarshan Venu named a significant beneficial owner through trust structures in April 2025.
  • Venu Srinivasan's transfer of 13,73,347 TVS Holdings shares — 6.79% of equity — to VS Trust via an off-market inter-se transfer on April 23, 2025.
  • Sudarshan Venu's appointment as Managing Director of TVS Holdings, approved by shareholders through a postal ballot.
  • His elevation as Chairman and Managing Director of TVS Motor, effective August 25, 2025, approved by the board and disclosed to exchanges.
  • Lakshmi Venu ceasing to be a director of TVS Motor in August 2024; she remains managing director of Sundaram-Clayton and vice-chairperson of TAFE.

Sudarshan Venu now leads TVS Motor, serves as Managing Director of TVS Holdings and chairs TVS Credit Services, the group's non-banking financial arm.

InGovern said formalized management roles and aligned ownership could support continuity and reduce key-person risk. But those steps, on their own, don't establish that all economic entitlements under the broader family arrangement have been settled. The firm also found no subsequent exchange filing by TVS Holdings or TVS Motor specifically disclosing the dispute that became public in October 2026.

Why continuity matters at these numbers

The fight lands as TVS Motor posts record results under the current leadership. Revenue reached Rs 47,270 crore in 2025-26, up 30% from Rs 36,251 crore the prior year, while operating profit before tax rose 40% to Rs 4,975 crore. Revenue has grown more than five-fold from Rs 8,694 crore in 2013-14, and operating PBT is up roughly 14 times from Rs 355 crore, the report said.

InGovern said the performance record supports continuity but can't determine the fairness or completeness of a contested family arrangement. It cautioned against reopening documented family arrangements merely because relative business valuations shifted after the agreed reference date. Any variation, it said, should be tested against the documented terms, the underlying trust arrangements and applicable law.

Prolonged uncertainty could eventually touch promoter control, board composition, brand use, strategic direction, lender confidence, employee morale and customer relationships, the report warned.

"The appropriate governance outcome is not to prejudge private family rights," the report said, adding that resolution should proceed through documented arrangements and applicable law while keeping the boards of TVS Holdings and TVS Motor stable and accountable to all shareholders. The report draws only on public filings, annual reports and company disclosures — InGovern did not examine the MoU, trust deeds or valuation reports, and offers no opinion on the family's underlying legal rights.
