Aramco has closed its purchase of a 49% stake in artificial intelligence company HUMAIN, paying roughly SAR 9.9 billion ($2.6 billion) in cash in 2026 and transferring key AI assets. Saudi Arabia's Public Investment Fund (PIF) announced the closing on November 1, 2026, and retains 51% ownership of the company.

The deal works through a wholly owned Aramco subsidiary. Beyond cash, Aramco contributed AI, compute, and digital assets. PIF also contributed AI assets, capabilities, and talent. As HUMAIN's two shareholders, PIF and Aramco will jointly oversee the company's expansion plans.

The transaction merges the AI portfolios of both shareholders into a single entity. The companies said the deal will accelerate HUMAIN's growth, advance its AI capabilities globally, and support its plan to develop data center capacity by 2030.

What does Aramco get from the deal?

Aramco expects to use HUMAIN's AI infrastructure to turn advanced AI capabilities into industrial applications. The company said Aramco and its affiliates will benefit as shareholder and strategic partner from HUMAIN's infrastructure and services.

The company framed the partnership as a way to monetize its existing AI and digital assets and to complement its core energy business. Aramco pointed to opportunities for revenue growth and attractive margins.

Aramco President & CEO Amin H. Nasser called the HUMAIN deal very important to the company. He said Aramco has achieved $11.3 billion in Technology Realized Value since 2023, with a significant portion coming from AI solutions. Nasser said the partnership with PIF lays the foundation for localizing the AI industry and enabling faster, more integrated, and scalable deployment of AI systems.

What is PIF's stated strategy?

Yazeed A. Al-Humied, Deputy Governor and Head of MENA Investments at PIF, said in the fund's announcement: "Bringing PIF and Aramco's AI portfolio of investments together under HUMAIN creates a powerful synergy that fuels talent growth, technological advancement, and intellectual property creation."

PIF said the partnership aligns with its 2026–2030 strategy. That strategy aims to deepen integration across economic ecosystems, expand opportunities with the private sector, and accelerate the growth of national companies into globally competitive leaders. PIF added that its AI and digital economy strategy benefits from Saudi Arabia's position as a globally competitive market through innovation and capacity building.

How did the deal come together?

The two sides first set out the framework on October 28, 2025. On that date, PIF and Aramco signed a non-binding term sheet covering a significant minority stake for Aramco, with PIF retaining majority ownership, according to Aramco's newsroom. The term sheet was subject to definitive agreements, regulatory approvals, and customary conditions.

That October 2025 announcement said the plan would combine the two organizations' AI programs through HUMAIN. It also disclosed that the Saudi Company for Artificial Intelligence (SCAI), wholly owned by PIF, had recently been transferred to HUMAIN.

What is HUMAIN building?

HUMAIN launched in May 2025. The company is building full-stack AI capabilities across four core areas:

  • Next-generation data centers
  • Hyper-performance infrastructure and cloud platforms
  • Advanced AI models
  • Transformative AI solutions

Its model lineup includes ALLaM, which the companies describe as one of the world's most powerful multimodal Arabic large language models.

HUMAIN plans to deploy 3 gigawatts of AI data center capacity by 2030. The companies said the firm is rapidly scaling to meet growing regional and global demand for AI compute. HUMAIN aims to build an integrated AI ecosystem spanning the full stack, from data centers and high-performance compute to models, applications, and industry solutions.

The stated goal is to become one of the leading exporters of AI globally. With Aramco's $2.6 billion cash injection and both shareholders' AI assets now inside one company, HUMAIN has the balance sheet and the compute pipeline to pursue that target at scale.
