What's News

  • Marvell is offering about $1,132 per Lumentum share in an all-stock deal, a 24% premium to the Oct. 28 close.
  • Marvell shareholders will own roughly two-thirds of the combined company.
  • The deal is expected to close in the first half of 2028, pending shareholder and regulatory approval.
  • Marvell's market cap stood at $172 billion; Lumentum's at $76 billion after its stock roughly doubled this year.

Marvell Technology has officially agreed to combine with Lumentum Holdings in an all-stock deal that values each Lumentum share at roughly $1,132 — a 24% premium to where the stock closed on Oct. 28, before takeover rumors started moving the price.

The structure is straightforward: Marvell is paying entirely in stock. Once the transaction closes, Marvell shareholders will own about two-thirds of the combined business, leaving Lumentum investors with the remaining third. The companies expect to complete the deal in the first half of 2028, subject to approval from both shareholder bases and regulators.

The prize is the optical-networking market, one of the hottest corners of AI infrastructure spending right now. In the deal announcement, Marvell CEO Matt Murphy framed the strategic logic in sweeping terms: "AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation."

Why optical, and why now?

Optical technologies have become essential for moving artificial-intelligence data at high speeds. That's the core of the strategic case. The two companies said that, combined, they'll be able to address market opportunities more quickly than either could alone.

The deal pairs two large players. Marvell carried a $172 billion market capitalization as of Friday's close. Lumentum was worth $76 billion — a valuation built on a stock that has essentially doubled this year.

How are investors reacting?

The market's response has been split along ownership lines. Marvell shares rose about 1% in premarket trading on Monday. That follows a rough stretch: the stock fell last week after Bloomberg News first reported on a potential combination. Lumentum shareholders have had more to celebrate, with the stock up more than 2% on the news.

The pre-rumor premium matters for how the offer reads. The $1,132-per-share figure and its 24% premium are both benchmarked against the Oct. 28 closing price — the last close before deal speculation began swirling and distorting both companies' valuations.

What happens between now and closing?

The timeline is long. A first-half 2028 close means well over a year of shareholder votes, regulatory review and integration planning stand between Monday's announcement and a finished combination. Both companies' investors must approve the transaction, and antitrust and other regulators will get their say as well.

The all-stock structure also means Lumentum holders aren't exiting — they're rolling into the combined company. That gives them continued exposure to the optical-connectivity market Murphy described, while Marvell shareholders keep roughly two-thirds control of the enlarged business.

The bet, in short, is that optical connectivity keeps scaling with AI infrastructure demand. Murphy's "once in a generation" framing sets a high bar; the combined company will spend the next several years, and the first half of 2028, proving the premium and the timeline were worth it.
